Terms and Conditions
SYNC ENGINE APPLegal agreement and terms of use for Sync Engine App for Shopify.
1. Accepting the Terms
By purchasing, downloading, installing, or using the Sync Engine App (hereinafter "SEA" or "the Software"), you confirm the absolute acceptance of these Terms and Conditions. Using the Software constitutes an irrevocable agreement. If you do not agree with any part of this document, you must refrain from using the Software.
2. Granting the License & Identifying Restrictions
I grant you a non exclusive, non transferable, and limited lifetime license to use one (1) module of SEA for one (1) specific Shopify store URL (.myshopify.com).
- Defining store limits: The license is strictly linked to the store URL provided at the time of purchase. Changing the store URL requires a new license purchase.
- Prohibiting reverse engineering: You may not decompile, disassemble, or attempt to derive the source code of the Software.
- Restricting distribution: You may not resell, lease, rent, or redistribute the Software or its compiled executables to any third party.
3. Processing Payments & Declaring the No Refunds Policy
Access to the Software requires a one time payment. Prices vary based on the payment method selected (PayPal or Binance Pay).
- Consuming the service: Upon delivery of the Software and the initial execution of a data sync, the service is considered fully consumed. The primary benefit is fulfilled immediately upon the first data extraction.
- Establishing the no refunds policy: I maintain a strict no refunds policy due to the digital nature of the product.
- Managing payment errors: You are responsible for verifying payment details. I am not liable for funds sent to incorrect addresses or via unsupported networks.
4. Ensuring Privacy & Local Architecture
The Software operates under a Privacy First Architecture.
- Executing locally: The Software runs entirely on your local machine. Your Shopify data moves directly from Shopify to your computer without passing through intermediate servers.
- Protecting credentials: I do not store or see your Shopify Admin API access tokens. These credentials remain secured on your local system.
- Owning the data: You retain 100% ownership of the raw data extracted. I do not track your activity or retain copies of your synchronization logs.
5. Providing the Technical Guarantee & Maintenance
I provide a 12 month technical guarantee starting from the delivery date.
- Fixing software defects: I guarantee that the Software is free from internal coding defects. If a bug prevents launching, I will provide a fix at no cost.
- Addressing breaking changes: If Shopify modifies its infrastructure (External Breaking Changes), a software recompilation might be required.
- Applying maintenance fees: Updates required by external changes are subject to a maintenance fee of $50 USD. This ensures continued compatibility and includes an upgrade to the latest version.
6. Defining User Responsibilities & Local Security
You are responsible for the environment where the Software is executed.
- Securing the local environment: You must ensure your computer is free from malware, viruses, or unauthorized access. I am not responsible for the theft or loss of API tokens stored on your machine.
- Granting OS permissions: You are responsible for allowing the custom compiled executable to run through your antivirus or firewall settings.
- Managing Excel locks: Ensuring the destination Excel file is closed during execution. The Software cannot write data if the file is locked by the system.
7. Limiting Liability & Disclaiming Warranties
The Software is provided "as is" and "as available".
- Reporting accurate data: SEA reports exactly what the Shopify API delivers. I am not responsible for discrepancies, ghost orders, or errors within the Shopify database.
- Excluding business liability: I am not liable for financial loss, business interruption, or damages arising from the use of the data exported.
- Monitoring security: I reserve the right to receive security logs to register unauthorized access attempts or unregistered store usage.
8. Indemnifying the Developer
You agree to indemnify, defend, and hold me harmless from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the Software, your violation of these terms, or your infringement of any third party rights.
9. Establishing Governing Law & Jurisdiction
These Terms and Conditions are governed by the laws of my current place of operation (Venezuela). Any dispute arising from these terms shall be resolved exclusively in the courts of my jurisdiction. This prevents the application of external regulations that do not correspond to the original development context of SEA.
10. Managing Service Discontinuation
While the license is for a lifetime, I reserve the right to modify or discontinue the Software if it becomes commercially unfeasible or if Shopify makes changes that render the Software technically impossible to maintain. In such rare cases, no further maintenance fees will be collected.
11. Correcting Typographical Errors
I reserve the right to correct any typographical errors in pricing, product descriptions, or payment information. If a purchase is made based on incorrect information, I reserve the right to cancel the transaction and provide a full refund of the amount paid.
12. Contacting for Support
Technical support is limited to the functionality of the Software.
- Support Hours: Monday to Friday, 8:00 AM – 5:00 PM (VET / UTC-4).
- Exclusions: Training on Excel, data analysis, or Shopify administration is not provided.
